SembCorp Industries wishes to announce that its dormant subsidiary, Bintan Carrier Services Pte Ltd (“Bintan Carrier”) and its inactive wholly-owned subsidiaries, Sembawang Investments Pte Ltd (“SembInv”) and SembFood Pte Ltd (“SembFood”) have been placed under Members’ Voluntary Liquidation. Mr Teo Ban Seng has been appointed as the liquidator for Bintan Carrier and Mr Robert Yam has been appointed as the liquidator for SembInv and SembFood.

SembCorp Industries Ltd (“SembCorp”) announces that SembEnviro KK Asia, a subsidiary of SembCorp’s wholly-owned SembCorp Environmental Management, has entered into a Put and Call Option Agreement (“option agreement”) with HSBC Institutional Trust Services, as trustee of Mapletree Logistics Trust (“MapletreeLog”), for the sale and leaseback of its property at 9 Tampines Street 92, Singapore 528871.

In line with its strategy to sharpen its focus on its core businesses, SembCorp Industries Ltd (“SembCorp”) announces that its subsidiary, Singapore-Wuxi Investment Holdings Pte Ltd (“SWIH”) has today entered into a conditional sale and purchase agreement for the transfer of its stake in Wuxi Garden City Mall Hotel Co. Ltd (“WGCM”) to Park Hotel Strategic Investments Limited (“Park Hotel”).

Further to its announcement on July 5, 2006 relating to its acquisition of a 40 per cent interest in Fujairah Independent Water and Power Plant in the UAE, SembCorp Industries (SembCorp) announces that financial close for the project was achieved on November 22, 2006.

Further to its announcement on July 11, 2006 relating to the Inland Revenue Authority of Singapore’s confirmation of Solitaire costs incurred as trade losses of Sembawang Corporation Ltd (Sembawang), SembCorp Industries (SembCorp) announces that the losses available for transfer within the SembCorp Group under the group tax relief system and/or offset against taxable profits of Sembawang, subject to compliance with the respective provisions under the Singapore Income Tax Act, will be fully utilised in 2006.

SembCorp Industries (SembCorp) continued to show a robust performance, posting a record Profit After Tax and Minority Interest (PATMI) of $643.5 million for the first nine months of 2006 (9M2006), a growth of 202% over the previous year.

SembCorp Industries Ltd (“SembCorp”) refers to its announcement of June 2, 2006, on its sale of an 88% stake in SembCorp Engineers and Constructors Pte Ltd (“SembE&C”) to Punj Lloyd Pte Ltd (“Punj Lloyd”). Further to this earlier sale, SembCorp has today divested its remaining 12% stake in the former SembE&C, now known as Sembawang Engineers and Constructors Pte Ltd (“SEC”), to Punj Lloyd.
